Art. 1 – DEFINITIONS
1.1 "Website" means the website or sections of the website shopforshop.it dedicated to online sales.
1.2 "Customer" means any individual or legal entity placing an order through the Website and accepting these General Terms and Conditions of Sale.
1.3 "Business Customer" means a Customer who places an order by providing a valid VAT number and acts in the course of its business, trade, craft or professional activity, pursuant to Article 3(1)(c) of Italian Legislative Decree No. 206/2005.
1.4 "Consumer Customer" means a natural person who does not provide a VAT number at the time of ordering and for whom an invoice is issued in the name of a personal tax identification code, acting for purposes outside any business or professional activity, pursuant to Article 3(1)(a) of Italian Legislative Decree No. 206/2005.
1.5 The classification of the Customer as a Business Customer or Consumer Customer is determined exclusively on the basis of the tax details provided at the time of the Order and the corresponding invoicing method.
1.6 These General Terms and Conditions of Sale are drafted and structured primarily for B2B transactions with Business Customers. Mandatory consumer protection provisions shall apply solely in the cases and within the limits required by applicable law.
1.7 "Order" means the purchase request for the Products submitted by the Customer through the Website.
1.8 "Products" means the goods offered for sale on the Website.
1.9 "Customised Products" means Products manufactured on the basis of specifications, artwork files and approvals provided by the Customer.
1.10 "Price" means the consideration payable for the sale of the Products, which may also be determined on the basis of the quantities actually produced and delivered, where applicable.
1.11 "Contract" means the distance selling contract relating to the sale of the Products, governed by these General Terms and Conditions of Sale.
1.12 "Parties" means Shop for Shop s.r.l.s. and the Customer.
Art. 2 – ORDER FORM
For Business Customers, the online order form constitutes an irrevocable contractual offer pursuant to Article 1329 of the Italian Civil Code.
Mandatory statutory provisions remain applicable for Consumer Customers.
Submission of the Order and acceptance of these General Terms and Conditions of Sale constitute, for all legal purposes, a valid and binding contract between the Parties, with legal effect equivalent to a written and signed agreement, in accordance with the regulations governing contracts concluded by electronic means.
Art. 3 – PRICES
Prices are stated net of statutory VAT and ex works the Seller’s warehouse, unless otherwise specified.
For sales to Business Customers established outside the Italian territory, invoices shall be issued under VAT exemption or non-taxable regimes in accordance with applicable legislation. For Consumer Customers, Italian VAT or the VAT applicable under European regulations shall apply.
For purchases made by Consumer Customers resident in other Member States of the European Union who do not provide a valid VAT number, Italian VAT at the applicable rate shall apply, pursuant to the VAT rules applicable to standard regimes in the absence of the Seller’s participation in the OSS scheme.
Acceptance of these General Terms and Conditions of Sale implies full knowledge and acceptance of the applicable tax framework and shall not constitute grounds for any subsequent claim or dispute.
Product prices include printing according to the specifications indicated on the relevant product pages. For the “Clothing” and “Gadgets” categories, printing prices apply up to a maximum A4 print area; for A3 printing formats, the Customer must contact amministrazione@shopforshop.it.
Art. 4 – CONCLUSION OF THE CONTRACT
The Contract shall be deemed concluded and binding on the Parties exclusively
upon dispatch of the order confirmation by Shop for Shop s.r.l.s. to the Customer.
Art. 5 – ENTIRE AGREEMENT
The Contract supersedes any prior agreement, understanding or communication
between the Parties relating to the same subject matter.
Any amendment or modification of the Contract must be agreed in writing by both Parties.
Production tolerances, technical deviations and price adjustments
expressly provided for in these General Terms and Conditions
shall not constitute contractual modifications.
Art. 6 – PRODUCTION QUANTITY VARIATIONS
For Products manufactured to order or according to the Customer’s specific requirements,
production quantity tolerances of +/- 15–20% are permitted
due to technical and manufacturing requirements.
The Customer accepts that the total Contract Price shall be calculated
on the basis of the quantities actually produced and delivered,
without this constituting any modification of the agreed commercial terms.
Art. 6-bis – Technical Acceptance of Customised Products
The Customer acknowledges and agrees that Customised Products
are manufactured exclusively on the basis of the specifications,
artwork files and proofs approved by the Customer.
Upon approval of the artwork proof, the Customer confirms the full conformity
of the Product with its requirements and expressly waives any subsequent claim
relating to aesthetic, colour, dimensional or positioning aspects,
without prejudice to cases of objective non-conformity with the approved proof
or material defects attributable to Shop for Shop s.r.l.s.
Art. 7 – PRODUCT AVAILABILITY
Product availability is indicative only.
In the event of temporary or permanent unavailability,
Shop for Shop s.r.l.s. may propose an alternative product
or refund the amount paid.
Art. 8 – PRODUCTION AND DELIVERY TIMES
Most Products marketed by Shop for Shop s.r.l.s. are
made to order and customised
and require a structured production process
including technical verification, artwork preparation,
proof approval and subsequent manufacturing.
Production lead times shall commence exclusively when: (i) the due payment (deposit or balance) has been duly received; (ii) the Order has been taken into production; (iii) the artwork proof has been approved by the Customer, where applicable.
Until all the above conditions are met, the Order shall remain suspended and shall not give rise to any production obligation or binding delivery timeframe on the part of Shop for Shop s.r.l.s.
For the purpose of calculating lead times, the first production day shall be the first working day following receipt of payment.
Preparation and dispatch of the artwork proof shall occur solely and exclusively for Orders taken into production and may not be requested while an Order is in “awaiting payment” status.
Indicative artwork preparation times are:
- within 24 working hours for vector files (.ai, .cdr, vector .pdf with outlined text);
- within 36 working hours for non-vector files (.pdf from images, .jpeg, .png, .psd).
Delivery times are separate from production times, are not included in their calculation and commence upon dispatch of the goods, varying according to destination.
Unless otherwise instructed, Shop for Shop s.r.l.s. reserves the right to make partial deliveries at no additional charge.
Indicative standard production lead times are:
- 15–20 working days for most paper bags, standard luxury bags, clothing, gadgets, pastry boxes and adhesive labels;
- approximately 30 working days for plastic bag models;
- approximately 40 working days for custom-series shoppers, special models (such as Elite, Luxury, etc.), made-to-measure boxes, pouch boxes and counter paper.
These timeframes are indicative only and may vary depending on Product complexity and the Customer’s specific requirements.
Art. 9 – PRODUCT DEFECTS
For Business Customers, any defects, faults or non-conformities
of the Products must be notified in writing
no later than 5 (five) days from receipt of the goods.
After this period, the Business Customer shall forfeit any right to raise claims.
The Business Customer is required to retain the disputed Products in the condition in which they were received, in order to allow the necessary technical inspections. Failing this, Shop for Shop s.r.l.s. shall not be held liable.
For Consumer Customers, only the mandatory statutory protections provided by applicable law regarding the legal guarantee of conformity shall apply.
Art. 10 – COLOUR RENDERING, GRAPHICS AND PRODUCT APPEARANCE
The Customer acknowledges that, for technical, manufacturing and sourcing reasons, different production batches of the same Product may show variations in colour, shade, dimensions, finishes, materials or construction details, which do not substantially affect the characteristics or functionality of the Product. Such variations shall not constitute a defect nor grounds for complaint.
Shop for Shop s.r.l.s. reserves the right to introduce technical or qualitative improvements to the Products listed in its catalogue, even after publication, without any obligation to immediately update images, descriptions or technical data sheets and without such changes giving rise to any claim or complaint.
Images, colours, graphic simulations, dimensions and print areas displayed on the Website are for illustrative purposes only. Colour rendering of the Products may vary depending on production processes, materials used and printing techniques applied. In particular, the Customer acknowledges that colours displayed on screen (RGB) may differ from the final printed result. Colour deviations within the normal tolerances of the production process shall not constitute a defect or grounds for dispute.
The Customer further acknowledges that, depending on the printing techniques used, the quantities ordered and the production substrates, Pantone colour matching is generally not technically achievable. Where a Pantone reference is indicated by the Customer, it shall be deemed indicative only, and the final colour rendering may differ from the theoretical reference.
Only where the Product and the printing technique technically allow, and subject to explicit written confirmation by Shop for Shop s.r.l.s., may a Pantone reference be used as a working guideline, without any guarantee of absolute colour correspondence.
The selection of Products, colours, dimensions and graphics is made under the Customer’s sole responsibility. Before submitting the Order, the Customer is required to carefully verify all information provided, including texts, logos, colours, positioning and dimensions. Shop for Shop s.r.l.s. shall not be liable for errors arising from incorrect, incomplete or inaccurate instructions supplied by the Customer.
Artwork proofs are prepared on the basis of the files provided by the Customer and must be carefully checked prior to approval. By approving the artwork proof, the Customer confirms the conformity of the Product with its requirements and accepts the resulting final appearance.
Art. 11 – SAMPLE PURCHASES
Product samples are offered for sale as standard, non-customised items
and may be purchased directly through the Website,
using the same purchasing procedure applicable to any other Product.
Each sample is supplied without customisation and may be purchased, where applicable, in one unit per colour and/or size, as indicated on the relevant product page.
Samples are added to the shopping basket and purchased at the price shown on the Website. The purchase of samples does not constitute a deposit, advance payment or credit towards any subsequent order of customised Products.
The cost of samples is therefore deemed final and non-refundable and may not be deducted from the price of future Orders, even where the Customer subsequently purchases the same Product in customised form.
Product availability is indicated on the product page under the stock status. However, due to technical limitations of the system, a sample may occasionally be purchasable even where stock availability is shown as zero.
In such cases, where a purchased sample is subsequently found to be unavailable, Shop for Shop s.r.l.s. shall:
- cancel the Order, in whole or in part;
- refund the amount paid for the unavailable sample.
Such refund shall not give rise to any further claim, compensation or indemnity by the Customer.
Samples are supplied solely to allow assessment of materials, format and general characteristics of the Products and shall not constitute a binding reference for colour rendering, customisation or the final result of customised Products, without prejudice to the provisions of Arts. 6, 6-bis and 10.
Art. 12 – PAYMENT METHODS
Payment for Products may be made by bank transfer,
PayPal, credit or debit cards through secure payment circuits,
or via instalment payment solutions offered by third-party providers
indicated on the Website at the time of ordering.
Where instalment payment services are used, the Customer acknowledges and agrees that the credit may be assigned to third parties responsible for payment processing, in accordance with the contractual terms of the relevant service provider.
Where payment is made by bank transfer, the Order amount may be divided into two instalments:
- 50% of the total amount as a deposit;
- the balance within 5 days from notification of Order completion and in any case prior to dispatch.
This split payment arrangement is necessary as the total Order amount may vary as a result of:
- production quantity tolerances (+/-15–20%) as provided for in Art. 6;
- incorrect selection by the Customer between “new artwork” and “reprint”;
- application of costs relating to printing plates and tooling, governed by Art. 12-bis.
In the event of late payment of the balance, Shop for Shop s.r.l.s. reserves the right to suspend dispatch and to apply statutory and default interest as provided by applicable law, without prejudice to compensation for any further damages.
Where payment is made via PayPal, any split payment arrangement must be agreed in advance with Shop for Shop s.r.l.s. by written communication to amministrazione@shopforshop.it.
For invoicing purposes, upon request by the Customer, a deposit invoice and a final invoice may be issued; in the absence of such request, a single invoice shall be issued upon completion of the Order.
Art. 12-bis – Printing Plates and Applicable Conditions
For certain categories of customised Products,
specific printing plates or tooling
(clichés, screens, dies or equivalent technical tools)
are required to produce the requested graphics.
These provisions supplement those set out in Art. 12 regarding Order value variations arising from the choice between “new artwork” and “reprint”.
1. Complimentary printing plates for first supply
For all paper bags, cake boxes
and pastry boxes,
the printing plate relating to the first supply of each specific size
is provided free of charge,
regardless of the selected printing technique.
The complimentary plate remains valid solely for the same combination of product size, print position and printing technique.
2. Artwork changes on complimentary plates
Where, in a subsequent supply of the same size,
the Customer requests artwork different from that previously printed
(changes to logos, text, colours, graphic elements or print area dimensions),
a contribution of €25.00 per plate shall be applied,
depending on the printing technique and required dimensions.
This contribution is due as each modification requires the regeneration or creation of a new technical plate, with an impact on the total Order amount, as also provided for in Art. 12.
3. Complimentary plates for new sizes never previously ordered
Where the Customer orders a product size never previously purchased,
the printing plate relating to that new size shall be provided
free of charge,
as it constitutes a first supply in all respects.
4. Reprints without artwork changes
In the case of reprints of the same size
with no changes to the previously used artwork,
the original plate may be reused at no additional cost,
unless technical incompatibility arises
due to changes in production processes or machinery upgrades.
Art. 13 – RIGHT OF WITHDRAWAL
The right of withdrawal applies exclusively to Consumer Customers, within the limits and conditions set out in Directive 2011/83/EU and Italian Legislative Decree No. 206/2005 (Consumer Code). No right of withdrawal is granted to Business Customers.
The Consumer Customer has the right to withdraw from the Contract, without providing any reason, within 14 (fourteen) days from receipt of the Products, provided that the Products are non-customised.
To exercise the right of withdrawal, the Customer must send a written notice within the above time limit, by email or registered letter with acknowledgement of receipt.
Products must be returned unused, undamaged, in their original packaging and complete with all accessories. Return shipping costs shall be borne exclusively by the Customer.
Shop for Shop s.r.l.s. shall refund the amounts paid within 14 days from receipt of the withdrawal notice, without prejudice to the right to withhold the refund until the returned Products have been received or proof of their return has been provided.
Return costs for non-customised Products
In the event of withdrawal relating to non-customised Products, the Customer shall bear:
- a fixed one-off amount of €50.00 plus VAT, where applicable, as handling and return-to-warehouse costs;
- the shipping costs for returning the Products, which shall remain entirely at the Customer’s expense.
The risk of loss or damage to the Products during return transport shall remain with the Customer, unless the transport is arranged directly by Shop for Shop s.r.l.s.
Where returned Products are found to be tampered with, damaged or used beyond what is necessary to verify their nature and characteristics, Shop for Shop s.r.l.s. reserves the right to reduce the refund amount in proportion to the resulting loss in value.
Exclusion of the right of withdrawal for customised Products
Pursuant to Article 59(c) of Italian Legislative Decree No. 206/2005, the right of withdrawal is expressly excluded for Customised Products, made to the Customer’s specifications or clearly personalised.
Accordingly, returns or refunds are not accepted for changes of mind relating to the purchase or the requested customisation, including after dispatch of the artwork proof or reconstruction and adaptation of Customer-supplied files.
By way of exception, where the Customer requests cancellation of the Order on the same day the artwork proof is received, Shop for Shop s.r.l.s. may assess the cancellation, charging solely the graphic design cost of €25.00.
In all cases, the Customer remains obliged to pay any amounts due for work already commenced, printing plates produced or other activities carried out at the Customer’s request.
Customers resident outside the European Union
For Customers resident outside the European Union, the same conditions set out above shall apply, without prejudice to the fact that the right of withdrawal is not guaranteed unless expressly provided for by the applicable law of the Customer’s country. In all cases, the right of withdrawal is always excluded for customised Products.
Art. 14 – LIMITATION OF LIABILITY
Shop for Shop s.r.l.s. shall not be liable for delays, failed or partial deliveries, suspension of production or contractual non-performance resulting from force majeure, fortuitous events or circumstances beyond its reasonable control.
Such events include, by way of example and not limitation: strikes, transport disruptions, supplier delays or defaults, raw material shortages, machinery breakdowns, natural events, government measures, public health emergencies, or other circumstances rendering performance impossible or excessively burdensome.
In such cases, Shop for Shop s.r.l.s. shall endeavour, where possible, to promptly inform the Customer and to agree alternative solutions, without such circumstances constituting grounds for termination of the Contract or claims for damages, without prejudice to mandatory Consumer rights.
Art. 15 – TRANSPORT
For Business Customers, goods are transported at the Customer’s risk from the moment they are handed over to the appointed carrier. Shop for Shop s.r.l.s. shall not be liable for damage, shortages or delays attributable to the carrier or third parties responsible for transport.
Upon delivery, the Business Customer must check the integrity of the packages received and report any anomalies by making a written reservation on the carrier’s delivery note. In the absence of such written reservation, no claims for transport damage or shortages shall be accepted.
For Consumer Customers, the risk of loss or damage to the Products passes upon physical delivery of the goods, pursuant to Article 63 of Italian Legislative Decree No. 206/2005 and Directive 2011/83/EU. Mandatory consumer protection provisions remain unaffected.
Art. 16 – REPLACEMENT OF NON-CUSTOMISED GOODS
For Business Customers, requests for replacement are permitted exclusively for non-customised goods, within 14 days from the invoice issue date, subject to prior written notice to Shop for Shop s.r.l.s.
Replacement is subject to verification of the complete integrity of the returned goods, which must be unused, undamaged and complete with all accessories.
If the request is accepted, a 10% surcharge shall be applied to the purchase price, in addition to the transport costs for both return and reshipment. Return shipment to the warehouse is always at the Customer’s expense.
For Consumer Customers, replacement of non-customised goods is governed exclusively by the exercise of the right of withdrawal, as provided for in Art. 13 and applicable mandatory legislation.
Art. 17 – COPYRIGHT, CONTENT AND ASSUMPTION OF LIABILITY
The Customer represents and warrants that it holds all rights
to use, reproduce and commercially exploit
the files, texts, logos, images, trademarks
and any other materials supplied
for the production of Customised Products,
or that it has obtained the necessary authorisations
from the rightful owners.
The Customer assumes full responsibility, including towards third parties, for the content supplied and indemnifies and holds harmless Shop for Shop s.r.l.s. from any claim, action, demand for compensation or dispute, whether civil, administrative or criminal, arising from the use of the materials provided.
In particular, the Customer warrants that the supplied materials do not infringe intellectual or industrial property rights, copyrights, image rights, trademarks, patents or other third-party rights, and do not contain elements that are:
- protected by copyright or other intellectual property rights without authorisation;
- unlawful, obscene, defamatory, offensive or contrary to public morality;
- capable of infringing the rights, reputation or interests of third parties.
Shop for Shop s.r.l.s. is under no obligation to carry out any prior checks on Customer-supplied content and acts solely as a technical executor of the requested customisation.
Shop for Shop s.r.l.s. nevertheless reserves the right to refuse, suspend or cancel Orders which, at its sole discretion, contain materials that are manifestly unlawful, offensive or potentially infringing third-party rights, without such refusal constituting contractual breach.
Unless expressly prohibited in writing by the Customer at the time of ordering, Shop for Shop s.r.l.s. reserves the right to use images of customised Products produced for demonstration, promotional or portfolio purposes, in compliance with applicable law.
Art. 18 – TRANSPORT COSTS FOR REMOTE AREAS AND SPECIAL DESTINATIONS
The transport cost indicated at the time of ordering
refers to standard deliveries to locations not subject to logistical restrictions.
For locations classified as remote by carriers, restricted traffic areas, minor islands, hard-to-reach areas or destinations outside the Italian territory, additional transport surcharges may apply.
Such surcharges are determined by the appointed carriers, may be calculated based on weight, volume, number of parcels or specific logistical conditions, and shall be communicated to the Customer after Order confirmation.
The Customer acknowledges and accepts that any transport surcharge is independent of the will of Shop for Shop s.r.l.s. and constitutes a necessary condition for Order fulfilment.
Should the Customer decline the communicated surcharge, Shop for Shop s.r.l.s. shall cancel the Order and refund any amounts already paid, without any entitlement to compensation or indemnity.
Art. 19 – ELECTRONIC FORMATS AND PRINT FILES
Files supplied by the Customer for Product customisation
must be provided in electronic format
in accordance with the technical specifications
indicated on the Website and/or communicated by Shop for Shop s.r.l.s.
during the Order process or artwork preparation.
Unless otherwise specified, only vector or professional file formats (e.g. .ai, .cdr, .eps, vector .pdf with outlined text) are deemed suitable for printing. Other formats (such as .jpg, .png, .psd or raster-based pdf files) may require technical checks, adaptations or graphic reconstruction.
The Customer acknowledges and accepts that the final quality of the customised Product depends directly on the quality, resolution and correctness of the files supplied. Shop for Shop s.r.l.s. shall not be liable for printing defects, colour rendering issues, pixelation or imperfections resulting from unsuitable, incomplete or technically incorrect files.
Any additional graphic processing, adaptations, reconstruction or optimisation of Customer-supplied files may be subject to a separate quotation, which must be expressly accepted by the Customer before production commences.
Artwork preparation and dispatch shall take place exclusively after Order confirmation and receipt of the due payment, in accordance with these General Terms and Conditions of Sale.
Where the Customer fails to supply compliant files or does not approve the artwork proof within the indicated timeframes, production and delivery lead times shall be automatically suspended, without this constituting any breach or delay attributable to Shop for Shop s.r.l.s.
Art. 20 – APPLICABLE LAW
The Contract shall be governed by Italian law,
without prejudice to the application of
mandatory provisions of European Union law,
particularly those protecting Consumer Customers.
Art. 21 – JURISDICTION
For any dispute arising out of or in connection with the Contract
involving Business Customers,
exclusive jurisdiction shall lie with the Court of Ragusa (Italy).
For disputes involving Consumer Customers,
jurisdiction shall lie with the court
of the Consumer’s place of residence or domicile,
in accordance with applicable law.
